PaymentTerms
These Payment Terms are an agreement between you and COACHONE WEBSERVICES S.R.L., a company registered in Romania, with its registered office at Sat Hărman, Comuna Hărman, Str. DE KM. 0+324, Județ Brașov, Romania, Trade Register No. J2026026670005, CUI 54536319 ("CoachOne Payments", "we"). They apply to all card and Apple Pay payments for Sessions made through the CoachOne Platform and form part of the Terms of Service. Capitalised words have the meaning given in the Terms of Service.
1. Our Role
Each Trainer appoints CoachOne Payments as their limited commercial agent to collect payments from Clients for the Trainer's Sessions and to pay those amounts out to the Trainer.
We act on behalf of the Trainer only. We do not sell Sessions, provide Sessions, or act for Clients. The Trainer remains the seller of every Session.
We appear as the merchant on Clients' card statements so that payments can be processed securely. This does not make us the seller of the Session.
Payments are processed by Stripe Payments Europe, Ltd. and its affiliates ("Stripe"), a licensed payment provider. We never store full card numbers.
2. Discharge of Payment
When a Client's payment is received by CoachOne Payments, the Client has fully paid the Trainer for that Session. The Trainer may not ask the Client to pay again, even if a payout is delayed.
3. How Client Payments Work
- Booking. When a Client books a Session, we place a hold (authorisation) on the Client's card for the Session price. The Client is not charged.
- Declined or cancelled before the Session. We release the hold. The Client is never charged, so no refund is needed. If the Trainer's cancellation policy sets a late cancellation fee, we charge only that amount.
- Session takes place. We charge the held amount after the Session's scheduled end time.
- Sessions booked more than 5 days ahead. We save the Client's card at booking and place the hold within 5 days before the Session. If the hold fails, we notify the Client and Trainer and the booking may be cancelled.
By booking, the Client authorises us to hold and charge their card as described above.
4. Platform Fee
Trainers pay a Platform Fee of 3% of each card payment. The current fee is shown in the app before the Trainer enables card payments. We deduct it automatically before payout. We will give Trainers 30 days notice before increasing it.
In addition to the Platform Fee, Trainers pay the processing costs charged by Stripe on their payments. These include card processing fees, payout fees, cross-border fees and currency conversion costs. They are deducted automatically before payout and itemised in the app. There is no fixed fee per booking.
5. Payouts to Trainers
We pay Trainers the Session price minus the Platform Fee:
- Normally within 2 business days after the Session's end time
- During a Trainer's first 30 days with card payments, within 7 business days after the Session's end time
Bank payouts are sent once per week. Funds become eligible for payout 2 business days after the Session's end time (7 business days during a Trainer's first 30 days).
Payouts go only to a bank account in the Trainer's own name, in the currency we support for the Trainer's country. Bank processing times are outside our control.
Until paid out, collected amounts are held by us as the Trainer's agent and recorded against the Trainer's account in the app.
6. Refunds
Clients are only charged after a Session takes place, so cancellations are handled by releasing the hold, not by refunds. A refund is made only in exceptional cases: a duplicate charge, a technical error, or a charge for a Session that did not take place.
If such a refund is issued after the Trainer was paid out, the refunded amount is deducted from the Trainer's future payouts. The Platform Fee and card processing costs on refunded payments are not returned to the Trainer, because card processing costs are not returned to us.
7. Chargebacks and Disputes
If a Client disputes a payment with their bank, we may hold the related amount from the Trainer's balance until the dispute is resolved.
Trainers must provide evidence we ask for, such as booking and attendance records, within 5 days.
If the dispute is lost, the disputed amount and any dispute fee are charged to the Trainer, unless the dispute arose from our own error.
8. Deductions and Recovery
We may deduct from any amount owed to a Trainer:
- Refunds and chargebacks
- Dispute fees
- Platform Fees
- Amounts paid out in error
If a Trainer's balance is not enough, the Trainer must repay the difference within 14 days of our request. We may recover it from future payouts.
9. Holds and Reserves
We may delay a payout, hold funds, or set a reserve if we reasonably suspect fraud, see unusual activity or a high rate of disputes, are required to by law or by Stripe, or the Trainer breaches these Payment Terms. We will tell the Trainer where lawful and release funds once the risk ends.
10. Trainer Verification
To receive payouts, Trainers must provide their legal name, date of birth, residential address, email, phone number and bank account. Trainers in the United States must also provide the last four digits of their Social Security Number. Trainers in the United Arab Emirates must provide a photo of their Emirates ID. Stripe may request additional documents, such as a government ID or proof of address, which we collect in the app.
We share this information with Stripe to set up the Trainer's payout account. Payouts may be paused until required information is provided.
By enabling card payments, the Trainer accepts the Stripe Connected Account Agreement, which includes the Stripe Terms of Service.
11. Tax Reporting
Trainers are responsible for their own taxes on Session income.
As an EU platform operator, we must report income of EU-resident Trainers to the Romanian tax authority (ANAF) under EU Directive 2021/514 (DAC7). That authority may share it with the tax authority of the Trainer's country. If an EU-resident Trainer does not provide required information after two reminders, we may pause payouts or card payments.
12. Currency
Trainers set prices in their local currency. Clients are charged in euro (EUR); the EUR amount is shown before the Client confirms. Conversion uses our daily rate. The Client's bank may apply its own fees for paying a EUR charge with a non-EUR card. Trainers are paid out in their local currency; the cost of converting EUR to that currency is a processing cost under section 4.
13. Ending Card Payments
A Trainer may turn off card payments at any time. Confirmed Sessions already paid must still be delivered or refunded. We pay out the remaining balance after deductions once any refund and dispute period for past payments ends, normally within 120 days.
14. Liability
To the extent permitted by law, we are not liable for delays or failures caused by banks, card networks, Stripe, or events outside our control. Our liability is limited as set out in the Terms of Service.
15. Changes
We will give at least 14 days notice of material changes to these Payment Terms, and 30 days for fee increases.
16. Governing Law
These Payment Terms are governed by Romanian law. The courts of Bucharest have jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of your country of residence and may bring claims in your local courts.
